Case study

Owner succession

A family group wanted a management buyout in eighteen months. The earnings story would not have survived a first diligence letter.

The brief

A saleable earnings figure, a tax path for the family, and a timetable the managers could fund.

What we found

Related-party rents, a dividend habit, and a close that hid the true run-rate.

What moved

A cleaned eighteen-month track, an MBO structure Mira would sign, and a deal that completed without a second price chip.

The work

James led. Amelia ran quality of earnings. Mira designed the extraction so the family were not surprised at completion. We spent a year making the numbers boring — which is what a buyer pays for.

The management team raised against a pack they had already been living with. There was no last-minute normalisation fight, because the fight had happened in this office, quietly, the year before.
