Case study

Expansion model

A UK technology group was two weeks from incorporating in the Netherlands with no view of VAT, people costs or the cash lag.

The brief

Stop or go, with a funded twelve-month view, before the notary appointment.

What we found

The sales lag was four months, not six weeks. Permanent establishment risk sat on the UK payroll as written.

What moved

A delayed incorporation, a local contractor model for quarter one, and a group pack from month one.

The work

Mira and Elena ran the file together. Tax chose the vehicle; advisory costed the lag. The founders had a date they wanted. The model did not support it. They waited, hired locally on a contractor basis, and opened the entity when the first two contracts were signed.
